1. Introduction and Acceptance

These Terms of Service (the "Terms" or this "Agreement") govern your access to and use of the websites, games, applications and related services operated by Mochi Labs Ltd. ("Mochi Labs", "we", "us" or "our"), including our website and all mobile games we publish on the Apple App Store, Google Play and any other platform (collectively, the "Services").

These Terms form a legally binding contract between you and Mochi Labs. By downloading, installing, accessing or using any part of the Services, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not use the Services.

2. Definitions

For the purposes of these Terms:

• "Account" means the account, profile or player identifier created for you in connection with the Services, whether created directly, through a device identifier, or through a third-party login.
• "Content" means all software, code, graphics, artwork, characters, level design, text, audio, music, video, and other materials made available through the Services.
• "Device" means any device capable of accessing the Services, such as a mobile phone, tablet or computer.
• "Platform" means a third-party digital distribution service through which the Services are made available, including the Apple App Store and Google Play.
• "User Content" means any content that you submit, upload, transmit or display through the Services, including nicknames, profile images, messages and feedback.
• "Virtual Items" means virtual currency, coins, gems, lives, boosters, power-ups, cosmetic items, levels, points and any other virtual goods or in-game benefits made available through the Services.
• "You" means the individual accessing or using the Services, or the legal entity on whose behalf that individual is acting.

3. Eligibility and Age Requirements

The Services are not directed at, and may not be used by, children under the age of 13. By using the Services you represent that you are at least 13 years old.

If you are between the ages of 13 and 18 (or between 13 and the age of legal majority in your country of residence), you may use the Services only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. A parent or guardian may withdraw that consent at any time by contacting us at support@mochi-labs.com, in which case the relevant Account will be closed.

We do not knowingly collect personal information from children under 13. If we become aware that a user under 13 has created an Account, we will close the Account and delete the associated data. If you believe a child under 13 is using the Services, please contact us at support@mochi-labs.com.

Additionally, you represent that you are not located in a country subject to a government embargo or designated as a "terrorist supporting" country, and that you are not listed on any government list of prohibited or restricted parties.

4. Your Account

Some features of the Services may require an Account or a connection to a third-party account. You agree to provide accurate information, to keep it up to date, and to keep any credentials confidential. You are responsible for all activity that occurs under your Account, including activity by anyone you allow to use your Device.

Accounts are personal to you. You may not sell, trade, transfer, rent, lend or share your Account, and you may not access another person's Account without permission. You must notify us promptly at support@mochi-labs.com if you suspect any unauthorised use of your Account.

5. Licence to Use the Services

Subject to your compliance with these Terms, Mochi Labs grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to download, install and use the Services on a Device you own or control, solely for your own personal, non-commercial entertainment purposes.

This licence does not transfer any ownership rights to you. All rights not expressly granted in these Terms are reserved by Mochi Labs and its licensors.

6. Rules of Conduct

You agree to use the Services lawfully and respectfully. In particular, you agree not to:

• Violate any applicable law, regulation or third-party right;
• Harass, bully, threaten, stalk, defame or abuse any other user or any member of our staff, or use obscene, hateful, discriminatory or otherwise offensive language;
• Cheat, exploit bugs, use automation, bots, scripts, macros, modified clients, emulators or any other software or method that gives an unfair advantage or interferes with normal gameplay;
• Hack, reverse engineer, decompile, disassemble, modify, translate, or attempt to derive the source code of the Services, except to the extent that this restriction is prohibited by applicable law;
• Upload, transmit or distribute any virus, malware, or other harmful code, or otherwise interfere with, overload or disrupt the Services or the servers and networks used to provide them;
• Attempt to gain unauthorised access to the Services, to another user's Account, or to any system or network connected to the Services;
• Sell, buy, trade, transfer, or attempt to sell, buy, trade or transfer Accounts, Virtual Items or in-game benefits outside the Services or through any means not expressly authorised by us;
• Host, emulate, reproduce or make the Services (or any part of them) available on any unauthorised server, website or platform;
• Use payment methods that do not belong to you, or engage in fraudulent, deceptive or abusive payment activity, including improper chargebacks;
• Collect or harvest personal information about other users, or violate the privacy of any person;
• Use our name, logos, trademarks or Content in any way that suggests sponsorship, endorsement or affiliation without our prior written permission;
• Advertise, promote or solicit other users for any commercial purpose without our prior written permission.

We may investigate suspected violations and take any action we consider appropriate, including removing content, issuing warnings, resetting progress, and suspending or terminating Accounts.

7. Virtual Items and Virtual Currency

7.1 Nature of Virtual Items. The Services may allow you to obtain Virtual Items, whether by purchase, as a reward for gameplay, or as a promotional grant. Virtual Items are a limited, personal, revocable, non-transferable licence to use a feature of the Services. You do not own Virtual Items. All Virtual Items remain the property of Mochi Labs at all times.

7.2 No Real-World Value. Virtual Items have no monetary value outside the Services, cannot be redeemed for cash or any other item of real-world value, and cannot be transferred, sold, traded or exchanged except where we expressly permit it inside the Services.

7.3 Our Rights. We may manage, regulate, control, modify, replace, re-price, remove or eliminate Virtual Items at any time, with or without notice, including where necessary to balance gameplay, correct errors, or comply with law. We will have no liability to you or any third party for exercising these rights.

7.4 Loss on Termination. If your Account is suspended, terminated or deleted, or if we discontinue a game or the Services, any unused Virtual Items associated with it will be forfeited, and no refund or compensation will be due, except where refund rights are mandatory under applicable law.

7.5 Expiry. Virtual Items may be subject to expiry dates or availability periods, which will be indicated where applicable.

8. Purchases, Billing and Refunds

8.1 Purchases Through Platforms. Purchases made within our games are processed by the Platform from which you downloaded the game (for example, Apple or Google), and not by Mochi Labs. Those purchases are also subject to the Platform's own terms, payment rules and refund policies, which apply in addition to these Terms.

8.2 Prices and Taxes. Prices are displayed in the applicable currency at the point of purchase and may change at any time. Prices may include applicable taxes or such taxes may be added, depending on your jurisdiction and the Platform's rules.

8.3 Refunds. Except where a refund is required by applicable law or granted by the relevant Platform under its own policy, all purchases are final and non-refundable. Because purchases are processed by the Platform, refund requests should be directed to the Platform in the first instance. Where a Platform refunds a purchase, we may remove the corresponding Virtual Items from your Account.

8.4 Purchases by Minors. If you are a minor, you may make purchases only with the permission of your parent or legal guardian. Account holders are responsible for all purchases made on their Device, and we encourage the use of the parental controls and purchase-confirmation settings provided by the Platforms.

8.5 Unauthorised Activity. We may suspend or terminate an Account, and revoke Virtual Items, where we reasonably believe a purchase is fraudulent, unauthorised, or made in breach of these Terms.

9. User Content

You retain any rights you hold in your User Content. By submitting User Content through the Services, you grant Mochi Labs a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, adapt, display and otherwise use that User Content in connection with operating, providing and promoting the Services.

You represent and warrant that you own or have all necessary rights to your User Content and that it does not infringe or violate the rights of any third party or any applicable law.

We are not obliged to monitor User Content, but we may review, moderate, refuse, edit or remove any User Content at our discretion, including content we consider unlawful, offensive, infringing or otherwise in breach of these Terms.

10. Intellectual Property

The Services and all Content are owned by Mochi Labs or its licensors and are protected by copyright, trademark and other intellectual property laws. The Mochi Labs name, logos, game titles and related marks are trademarks of Mochi Labs Ltd. Nothing in these Terms grants you any right to use them.

Except as expressly permitted by these Terms or by applicable law, you may not copy, reproduce, distribute, publicly display, adapt, create derivative works from, or commercially exploit the Services or any Content.

Copyright complaints. If you believe that material available through the Services infringes your copyright, please contact us at support@mochi-labs.com with: (a) a description of the work you claim is infringed; (b) a description and location of the allegedly infringing material; (c) your contact details; (d) a statement that you have a good-faith belief the use is not authorised; and (e) a statement that the information in your notice is accurate and that you are authorised to act on behalf of the rights holder. We will investigate and may remove the material and/or terminate the Accounts of repeat infringers.

11. Third-Party Services and Links

The Services may contain links to, or integrations with, third-party websites, social media services, advertising networks, analytics providers and Platforms that are not owned or controlled by Mochi Labs. We are not responsible for the content, policies or practices of any third party, and we do not endorse them. Your use of third-party services is governed by their own terms and privacy policies, which we encourage you to review.

12. Availability, Updates and Changes to the Services

We continually develop our games. We may, at any time and without liability to you: update, patch or modify the Services; add, change or remove features, content, levels or game mechanics; limit or restrict access to some or all of the Services; and suspend or discontinue a game or the Services in whole or in part.

Updates may be required in order to keep using a game. We do not guarantee that the Services will be available at all times or free from interruption, and maintenance, technical issues or events outside our reasonable control may cause downtime.

13. Suspension and Termination

You may stop using the Services at any time and may request deletion of your Account by contacting support@mochi-labs.com.

We may suspend, restrict or terminate your Account and your access to the Services, in whole or in part, at any time, with or without notice, including where we reasonably believe that you have breached these Terms, that your use harms other users or the Services, or that suspension is necessary to comply with law.

On termination, your licence to use the Services ends immediately, and Sections 7, 9, 10, 14, 15, 16, 18 and 19 will continue to apply.

14. Disclaimer of Warranties

The Services are provided "as is" and "as available", with all faults and without warranty of any kind. To the maximum extent permitted by applicable law, Mochi Labs and its affiliates, licensors and service providers disclaim all warranties, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranties arising out of course of dealing or usage of trade.

Without limiting the foregoing, we make no warranty that the Services will meet your requirements, will operate uninterrupted or error-free, will be secure or free of viruses or other harmful components, or that any defects will be corrected. Any material obtained through the Services is accessed at your own discretion and risk.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In that case, the exclusions apply to the greatest extent permitted by applicable law.

15. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Mochi Labs, its affiliates, directors, employees or agents be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, loss of data, loss of goodwill, loss of Virtual Items or game progress, business interruption, or computer or device failure, arising out of or in connection with these Terms or the Services, whether based on contract, tort, negligence, strict liability or any other legal theory, and whether or not we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of Mochi Labs arising out of or relating to these Terms or the Services will not exceed the greater of (a) the total amount you actually paid to us (or through a Platform for our Services) in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars (USD 100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

16. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend and hold harmless Mochi Labs and its affiliates, officers, directors, employees and agents from and against any claims, demands, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Services; (b) your User Content; (c) your breach of these Terms; or (d) your violation of any law or of the rights of any third party.

17. Privacy

Our collection and use of personal information in connection with the Services is described in our Privacy Policy. Please review it carefully. By using the Services, you consent to the processing of your information as described there.

18. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or the Services are governed by the laws of the State of Israel, without regard to its conflict-of-law rules. The competent courts of Tel Aviv-Yafo, Israel, will have exclusive jurisdiction over any such dispute.

If you are a consumer resident in the European Union, the European Economic Area, the United Kingdom, or another jurisdiction whose law grants you mandatory consumer protections, you continue to benefit from any mandatory provisions of the law of your country of residence, and nothing in this Section deprives you of the right to bring proceedings in the courts of that country where that right cannot be excluded.

Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@mochi-labs.com. We will attempt to resolve the dispute with you in good faith. If we cannot resolve it within sixty (60) days, either party may pursue formal proceedings.

19. General Provisions

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. A waiver is effective only if made in writing.

Assignment. You may not assign or transfer these Terms or any of your rights under them without our prior written consent. We may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganisation or sale of assets.

Entire agreement. These Terms, together with the Privacy Policy and any additional terms applicable to a specific game, event or promotion, constitute the entire agreement between you and Mochi Labs regarding the Services and supersede any prior agreements.

Force majeure. We will not be liable for any failure or delay in performance caused by events beyond our reasonable control.

Language. These Terms are drafted in English. If we provide a translation, the English version prevails in the event of any conflict or ambiguity.

20. Changes to These Terms

We may modify these Terms from time to time, for example to reflect changes to the Services or to legal requirements. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms on our website with a new "Last updated" date or by notifying you in-game, before they take effect.

Your continued use of the Services after the updated Terms take effect constitutes your acceptance of them. If you do not agree to the updated Terms, you must stop using the Services.
